It's 100% FROM or Miyazaki having a veto. If we could see the contract we'd have our answer.

It's not on the contract, Shuhei Yoshida spoke about this in Kinda Funny. Sony is afraid of damaging their relationship with Miyazaki and From Software which is why, when Miyazaki said no, they didn't brute force their way past him. Not necessarily something stated in the contract since technically Sony owns the IP, just unfortunate but smart business
